Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Spark Ledger website and services (the "Service") operated by Spark Ledger ("us", "we", or "our").

1Acceptance of Terms

By creating an account, subscribing to our services, or otherwise accessing or using Spark Ledger, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Spark Ledger.

2Description of Service

Spark Ledger provides cloud-based accounting software services including but not limited to: invoicing, expense tracking, bank account integration, financial reporting, check printing and mailing, ACH payment processing, and related financial management tools (collectively, the "Service"). The Service is designed for small and medium-sized businesses and is not intended to replace professional accounting, tax, or legal advice.

3Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of legal majority in your jurisdiction to use this Service.

4Subscription and Payment Terms

Certain features of the Service require a paid subscription. By subscribing:

• You authorize us to charge your designated payment method on a recurring basis
• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in these Terms or required by law
• We reserve the right to change our pricing with 30 days' notice
• Usage-based fees (e.g., check printing, ACH transfers) are billed monthly in arrears

5Free Trial

We may offer a free trial period for new users. At the end of the trial period, your account will be automatically converted to a paid subscription unless you cancel before the trial ends. You may be required to provide payment information to start a free trial, but you will not be charged until the trial period expires.

6User Responsibilities

You agree that you are solely responsible for:

• The accuracy, quality, and legality of your data and content
• Compliance with all applicable laws, including tax and financial regulations
• Maintaining appropriate backups of your data
• Using the Service in accordance with all applicable laws and regulations
• Ensuring your use of third-party integrations complies with their terms

8Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Spark Ledger and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

9Third-Party Services

The Service may integrate with or contain links to third-party services (including but not limited to Plaid for bank connections, Stripe for payment processing, and Lob for check mailing). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of these third-party services.

10Disclaimer of Warranties

The Service is not intended to provide accounting, tax, legal, or financial advice. You should consult with qualified professionals for advice specific to your situation.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPARK LEDGER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may request an export of your data within 30 days of termination
• We may delete your data after 30 days following termination
• All provisions of these Terms which by their nature should survive termination shall survive

13Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
